Voice Lesson Agreement

Terms and Conditions

Parties. In this agreement, Teresa Halsey is known as Teacher and the person who is receiving the services is known as Student. Collectively, Teacher and Student will be referred to as Parties.

Purpose of the Agreement. Student wishes to hire Teacher to provide services relating to Student's Voice Lessons as detailed in this Agreement. Teacher has agreed to provide such services according to the terms of this Agreement. If Student is a minor in age, a parent or guardian of Student is responsible for reading and agreeing to this agreement on behalf of Student. 

Services. Teacher shall provide Student with 30 or 45 minute voice lessons as agreed by both parties. This contract governs all lessons given to Student by Teacher. 

Location. Teacher shall deliver Services to Student at the following location(s):

Teresa Halsey’s home in Concord, CA. Please, email hello@teresahalsey.com if you are unclear of the address or if otherwise agreed upon to meet at an alternate location prior to 24 hours of the voice lesson. Both parties must be in agreement on location if choosing an alternate location. 

Delivery of Services. Teacher will provide all Services on the dates agreed upon by both parties. This will be confirmed through email or text or Acuity Scheduling. 

Cost. The total cost per voice lesson lesson is due in full at the beginning of each voice lesson. It is acceptable if another payment plan is agreed upon by both parties. Payment methods include cash, check, or another method agreed upon by both parties. 

Cancellation, Rescheduling of Services or No-Show Client. Lesson cancellations will be communicated at least 24 hours before the scheduled lesson by either Student or Teacher by email. If the cancellation is communicated 24 hours before the scheduled lesson, the Teacher and Student will make up the lesson at an agreed upon time. Any cancellation by the Student within twenty-four hours will require payment for the canceled lesson. Any emergency cancellation within twenty-four hours of the lesson time will be rescheduled accordingly.

An emergency is defined as a situation where utmost priority is paid to said situation. Examples are illness, broken bones, car accidents etc. In the event that either Teacher or Student tests positive for COVID-19, the lesson will be rescheduled accordingly. 

Force Majeure. Notwithstanding the above, either party may choose to be excused of any further performance obligations in the event of a disastrous occurrence outside the control of either party.

Failure to Perform Services. In the event Teacher cannot or will not perform its obligations in any or all parts of this Agreement, it (or a responsible party) will:

  1. Immediately give Notice to Student via the Notice provisions detailed in this Agreement; and

  2. Issue a refund or credit based on a reasonably accurate percentage of Services rendered; and

  3. Excuse Student of any further performance and/or payment obligations in this Agreement.

Copyright Ownership. In the event that any copyrighted work(s) are created as a result of the Services provided by Teacher in accordance with this Agreement, Teacher owns all copyrights in any and all work(s) it creates or produces pursuant to federal copyright law (Title 17, Chapter 2, Section 201-02 of the United States Code), whether registered or unregistered. Any and all products, whether tangible or intangible, produced or created in connection with, or in the process of fulfilling this Agreement, are expressly and solely owned by Teacher and may be used in the reasonable course of Teacher business.

Permitted Uses of Product(s). Teacher grants to Student a non-exclusive license of product(s) produced with and for Student for personal use only so long as Student provides Teacher with attribution each time Student uses Teacher's property. Personal use includes, but is not limited to, use within the following contexts:

  1. In photos on Student's personal social media pages or profiles; or

  2. In personal creations, such as a scrapbook or personal gift; or

  3. In personal communications, such as a family newsletter or email or holiday card.

Satisfaction. Teacher will use reasonable efforts to ensure Student's desired Services are produced in a style and manner consistent with Teacher current portfolio and Teacher will try to incorporate any reasonable suggestion made by Student. However, Student understands and agrees that:

  1. Every client is different, with different tastes, budgets, and needs;

  2. Teacher services are often a subjective art and Teacher has a unique vision, with an ever-evolving style and technique;

  3. Teacher will use its artistic judgment when providing Services for Student, which may not include strict adherence to Student's suggestions;

  4. Although Teacher will use reasonable efforts to incorporate Student's suggestions and desires when providing Student with the Services, Teacher shall have final say regarding the aesthetic judgment and artistic quality of the Services;

  5. Dissatisfaction with Teacher's aesthetic judgment or artistic ability are not valid reasons for termination of this Agreement or request of any monies returned.

Damages. Teacher is not responsible for any damages occurring in relation to Services or location of Services. 

Indemnification. Student agrees to indemnify, defend and hold harmless Teacher and its affiliates, employees, agents and independent contractors for any injury, property damage, liability, claim or other cause of action arising out of or related to Services and/or product(s) Teacher provides to Student.

Conduct. Lessons will be conducted in a professional manner and require similar considerations from both parties. Inherent to effective technical teaching, the Teacher will at times place her hands on the Student. Permission will always be asked prior, and if the Student is not comfortable with any part of the lesson, an open dialogue policy is in place. If any concept or note is unclear, it is incumbent of the Student to alert the Teacher. There is always time to clear up concepts and ask questions. Lessons are meant to be enjoyable, learning experiences, so always let the Teacher know if there are any concerns or for further explanation. 

Recording. Student agrees to recording of lessons and performances by Teacher. This is for records, quality assurance, safety and teaching purposes. 

Governing Law. The laws of California govern all matters arising out of or relating to this Agreement, including torts as well as applicable Federal Laws.

Severability. If any portion of this Agreement is deemed to be illegal or unenforceable, the remaining provisions of this Agreement remain in full force.

Notice. Parties shall provide effective notice (“Notice”) to each other via the following methods of delivery at the date and time which the Notice is sent:

Merger. This Agreement constitutes the final, exclusive agreement between the parties relating to the Voice Lesson and Services contained in this Agreement. All earlier and contemporaneous negotiations and agreements between the parties on the matters contained in this Agreement are expressly merged into and superseded by this Agreement.

Arbitration. Any dispute, claim, or grievance arising from or relating to the interpretation or application of this agreement shall be submitted to arbitration administered by the American Arbitration Association under its Labor Arbitration Rules. The parties further agree to accept the arbitrator’s award as final and binding on them. The arbitrator will be of the Teacher’s choosing.

Waiver. No failure by any party to insist upon the strict performance of any covenant, duty, agreement or condition of this Agreement or to exercise any right or remedy consequent upon a breach thereof shall constitute waiver of any such breach of any other covenant, duty, agreement or condition.

Amendment. The parties may amend this Agreement only by the parties’ written consent via proper Notice.
